Detailed US-focused B2B marketplace terms covering Dakoli platform role, buyer and seller responsibilities, communications, compliance, and transaction risk boundaries.

1. Introduction and Acceptance

These Terms of Service apply to Dakoli website, mobile app, and related marketplace services where supported. By accessing or using Dakoli, you agree to these Terms, related policies, and applicable notices unless otherwise stated for a specific workflow.

Dakoli is operated as a US-based B2B marketplace platform connecting buyers with sellers, suppliers, and manufacturers across Vietnam, Asia, and other markets where available.

2. Dakoli Marketplace Role

Dakoli provides platform tools for product discovery, supplier visibility, communication, inquiry flows, offer workflows, cart and checkout support, and marketplace operations where supported.

Dakoli is not automatically the seller of record for each listing or transaction unless explicitly stated in a specific flow. Sellers and suppliers are generally responsible for product information, commercial commitments, fulfillment, and legal compliance.

3. Eligibility, Business Use, and Accounts

You must provide accurate account information and keep it current. If you use Dakoli on behalf of a company, you represent that you have authority to bind that company to these Terms.

You are responsible for account security, user access controls, and activity under your account. Dakoli may suspend, restrict, or terminate access for security risk, fraud concerns, policy violations, or legal compliance requirements.

4. Buyer Responsibilities

Before placing or confirming an order, buyers are responsible for reviewing product descriptions, specifications, images, MOQ requirements, pricing tiers, variants, availability, lead times, and seller terms.

Buyers are also responsible for reviewing shipping origin data, destination-country requirements, import permits, duties, taxes, customs obligations, and other compliance requirements applicable to the order.

Buyers should review final checkout and order terms carefully. Cart activity, inquiry history, or quote activity does not by itself guarantee final availability or fulfillment.

5. Seller and Supplier Responsibilities

Sellers and suppliers are responsible for listing accuracy, product claims, specifications, images, pricing, MOQ, availability, lead times, and lawful product compliance.

Sellers are responsible for product safety obligations, labeling requirements, origin/shipping disclosures, export-side obligations, and truthful communication with buyers.

Where applicable, sellers are expected to honor accepted offers and confirmed order terms in accordance with platform workflow and applicable law.

6. Products, Listings, and User Content

Product listings and communications may include user-generated or seller-generated content. Dakoli may remove or restrict content that appears inaccurate, illegal, counterfeit, infringing, unsafe, misleading, sanctioned, or otherwise prohibited.

Dakoli does not guarantee that all listings are error-free. Users remain responsible for independent commercial and compliance review before entering transactions.

7. Inquiries, RFQs, Get Quote, and Messages

Inquiry and quote tools are communication channels. Supplier response times may vary by supplier capacity, product complexity, order size, and timing.

An inquiry or quote does not create a final order by itself. Marketplace messages, inquiry history, and quote records may be stored and reviewed for support, fraud prevention, compliance, dispute review, and platform safety where applicable.

8. Make Offer Terms

Make Offer is a negotiation feature where supported. Offers may be accepted, rejected, or countered depending on seller response and workflow state.

An offer is not final until accepted through supported process and any required checkout, payment authorization, and order confirmation steps are completed.

9. Cart, Checkout, and Order Processing

Cart contents are informational and do not guarantee inventory reservation, pricing continuity, or fulfillment. Checkout availability may vary by route, device, and region.

Orders may depend on availability, supplier confirmation, payment authorization, tax and customs factors, and policy compliance checks. Dakoli may delay, restrict, or cancel transactions for fraud prevention, legal requirements, or operational risk review where applicable.

On mobile, some payment or checkout steps may open secure web or WebView fallback flows where supported.

10. Pricing, MOQ, Shipping, Taxes, and Customs

Pricing may vary by quantity, specification, destination, supplier terms, currency factors, logistics method, and applicable taxes or duties. MOQ requirements may apply.

Shipping costs and transit estimates may vary by carrier, origin, destination, seasonality, customs processing, and service level. Unless otherwise agreed, buyers may be responsible for import duties, taxes, customs documentation, and destination-country compliance.

11. Payments and Third-Party Services

Payment methods may vary and may be processed by third-party payment processors where available. Processor terms, regional limits, and verification requirements may apply.

Unless otherwise stated for a specific feature, Dakoli should not be interpreted as storing full payment card details. Dakoli does not promise escrow services unless escrow is clearly implemented and explicitly offered.

Payment authorization does not guarantee fulfillment, delivery, or dispute outcomes.

12. Returns, Refunds, Cancellations, and Disputes

Return, refund, and cancellation outcomes may vary by supplier terms, product category, order status, payment method, shipping stage, and applicable law.

Dakoli may help facilitate buyer-seller communication and evidence review where available. Dakoli does not guarantee return eligibility, refund approval, replacement, supplier response, or dispute outcomes.

13. Supplier Transparency and Trust Signals

Dakoli may provide trust indicators, profile disclosures, or verification signals where available. Such signals are informational and do not guarantee authenticity, quality, compliance, performance, or delivery outcomes.

14. Prohibited Products and Activities

Prohibited activity includes fraud, counterfeit goods, IP infringement, illegal or restricted goods, unsafe/recalled products, sanctions violations, export/import violations, deceptive listings, abusive scraping, spam, malware, security attacks, and payment circumvention where applicable.

Dakoli may investigate and take enforcement actions including listing removal, account restrictions, evidence retention, and referral to relevant authorities where appropriate.

15. Compliance Obligations

Users are responsible for compliance with applicable US and international laws, including export controls, sanctions, anti-corruption requirements, product safety laws, labeling rules, customs requirements, and tax obligations.

Dakoli may request documentation or restrict platform access where compliance risk is identified.

16. Intellectual Property and Notice Process

Dakoli and its licensors retain rights in Dakoli platform technology, branding, and content. Users retain rights in their own content but grant Dakoli a limited license to host, process, and display content for platform operation, support, and safety review.

Except for user or seller content and third-party materials under their respective rights, Dakoli or its licensors may own or license the Dakoli name and brand assets, platform UI design, page layouts, visual elements, iconography, copy, workflows, software components, and marketplace presentation where applicable.

You may not copy, scrape, harvest, reproduce, mirror, clone, reverse engineer, decompile, frame, or republish material from Dakoli in a way that violates law, bypasses controls, or is used to build, benchmark, or operate a competing marketplace or derivative service without written permission.

No ownership transfer is granted by platform access. Limited use rights are only those expressly permitted by these Terms, applicable law, and Dakoli policies.

If you believe content infringes your rights, you may submit a rights complaint with sufficient details through Dakoli support channels. Dakoli may remove or restrict content pending review.

17. Mobile App Terms

Mobile app use may also be subject to Apple App Store and Google Play terms. App behavior may include deep links, session/token storage, telemetry, and secure WebView checkout fallback where supported.

Device permissions and notification settings may vary by device OS and user settings. Push notifications may be available only where implemented and enabled.

18. Communications

Dakoli may send service communications related to account, security, order workflow, policy changes, and support operations. Marketing communications may be sent where consent or applicable preference rules support that use.

19. Disclaimers

Dakoli services are provided on an "as is" and "as available" basis to the extent permitted by law. Dakoli does not guarantee uninterrupted service, supplier performance, product suitability, customs clearance, delivery timing, or dispute outcomes.

20. Limitation of Liability

To the extent permitted by applicable law, Dakoli and its affiliates may not be liable for indirect, incidental, consequential, special, or punitive damages arising from marketplace use, third-party conduct, supplier behavior, or service interruptions.

Some jurisdictions may limit enforceability of certain liability exclusions. This section is provided for policy intent and requires qualified US legal counsel review before launch.

21. Indemnification

You agree to indemnify Dakoli and its affiliates against claims, liabilities, losses, and expenses arising from your listings, products, communications, legal violations, IP claims, fraud, misuse of services, or breach of these Terms.

22. Governing Law and Dispute Forum

Dispute resolution process, forum selection, and any arbitration or class-action provisions must be finalized with qualified US legal counsel before public launch.

23. Changes to Terms
